38.(1) Subject to any resolution to the contrary ,all unused shares shall ,before issue be offered to such persons as at the date of the offer are entitled to receive notices from the Company of general meeting in proportion , as nearly as the circumstances allow ,to the sum of the nominal values of the shares already held by them.
