Where buyer or buying agent have good cause at any time to believe that any goods contain defects or hazards which could creat a substantial risk of injury to any person or property,upon buyer's or buying agent's request,seller shall,at seller's expense,use its best efforts to locate identify,and recall any such goods,whether in the possession of buyer or buyer's customers.Seller,upon recalling any such goods,shall repair or replace them,or,at the discretion of buyer,refund to retail purchasers their full retail price less a reasonable allowance for use.

The FOB price of any order includes all necessary quota cost which is for the account and risk of seller.Seller does hereby covenant,agree,and guarantee to buying agent that any and all quota neccessary for the shipment of the goods shall be supplied by seller.

Any remedy of buying angent contained in these terms and conditions shall not be exclusive,but shall be in additon to any other remedy of buying agent containde in these terms and conditons or under statute or common law.No failure on the part of any party to exercise or delay in exercising any right hereunder shall be deened a waiver,nor shall any single or partial exercise preclude any further or other exercise of such or any other right.

If any provision of these terms and conditions are held to be invalid,illegal or unenforceable,the validity,legality and enforceability of the remaining provisions shall not be impaired or effected.

These terms and conditions do not create a joint venture or partnership between the parties
and neither party is obligated to enter into any further contract or business relationship with the oher.

These terms and conditions shall be governed by and construed in accordance with the laws of Hong Kong Special Administrative Region of the People's Repubic of China(HKSAR)and the parties submit to non-exclusive jurisdiction of the courts of the HKSAR.
